Agreement to These Terms
These terms govern your use of symplecorp.ai, operated by Symple Corp ("we," "us," or "our"). By using this site, you agree to them. If you do not agree, please do not use the site.
This Site Is Not the Contract
This website describes what we do. It is not an offer to perform services, and nothing here creates a client relationship. If you engage us, that work is governed by a separate written agreement covering scope, deliverables, timelines, fees, confidentiality, and ownership of what we build for you. Where that agreement and these terms conflict, that agreement controls.
Acceptable Use
You agree not to:
- Use the site for any unlawful purpose or in violation of these terms
- Attempt to gain unauthorized access to the site, its systems, or any connected infrastructure
- Interfere with the site's operation, including by scraping at a volume that degrades service, or by probing or testing its security without our written permission
- Submit false or misleading information through our contact form, including someone else's phone number or contact details
- Use the site to transmit malware or unsolicited commercial messages
Intellectual Property
The content, design, code, and branding on this site are owned by Symple Corp or our licensors and are protected by intellectual property laws. The Symple Corp name and logo are our trademarks. You may view and share this site for your own informational or business purposes, but you may not copy, reproduce, or create derivative works from it for commercial use without our written permission. Ownership of software we develop under a client engagement is addressed in that engagement's agreement, not here.
What You Send Us
Information you send through our contact form is handled as described in our Privacy Policy, and any SMS messaging is governed by our Messaging Consent policy. Please do not send us confidential or proprietary information through this site before we have a signed agreement in place. Unsolicited ideas or suggestions you send us are not submitted in confidence, and we are free to use them without obligation to you.

Disclaimer

Limitation of Liability
To the fullest extent permitted by law, Symple Corp and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or related to your use of this site, whether based in contract, tort, or any other theory, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of your use of this site will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.
Indemnification
You agree to indemnify and hold Symple Corp harmless from any claims, losses, or expenses, including reasonable attorneys' fees, arising out of your misuse of this site or your violation of these terms or of applicable law.

Governing Law
These terms are governed by the laws of the State of Oregon, without regard to its conflict of laws rules. Any dispute arising out of these terms or your use of this site will be brought exclusively in the state or federal courts located in Oregon, and you consent to the jurisdiction of those courts.
Severability
If any provision of these terms is found unenforceable, the rest remain in effect, and the unenforceable provision will be applied to the greatest extent permitted by law. Our failure to enforce a provision is not a waiver of it.
